PUBLIC OFFER OF THE ONLINE STORE amabags.net FOR THE SALE OF GOODS
This Agreement is an official and public offer of the Seller to conclude a sales contract for the Goods presented on the website amabags.net. This Agreement is public, meaning that according to Article 633 of the Civil Code of Ukraine, its terms are identical for all buyers regardless of their status (individual, legal entity, sole proprietor) without giving preference to any buyer. By concluding this Agreement, the Buyer fully accepts the terms and procedure for placing an order, paying for the goods, delivering the goods, returning the goods, liability for improper orders, and all other terms of the Agreement. The Agreement is considered concluded at the moment the Buyer clicks the “Confirm Order” button on the checkout page in the “Cart” section and receives an electronic confirmation of the order from the Seller.
1. Definitions
1.1. Public Offer (hereinafter — the “Offer”) — a public proposal by the Seller, addressed to an unlimited number of individuals, to conclude a sales contract for goods with the Seller remotely (hereinafter — the “Agreement”) under the terms set forth in this Offer.
1.2. Goods or Services — the object of the transaction selected by the Buyer on the online store website and placed in the shopping cart, or already purchased by the Buyer remotely from the Seller.
1.3. Online Store — the Seller’s website at www.amabags.net created for concluding retail and wholesale purchase agreements based on the Buyer’s review of the Seller’s product descriptions via the Internet.
1.4. Buyer — a capable individual aged 18 or older who receives information from the Seller, places orders for the purchase of goods displayed on the online store’s website for purposes not related to entrepreneurial activity, or a legal entity or sole proprietor.
1.5. Seller — Sole Proprietor (FOP) Hnatiuk Vasyl Volodymyrovych (Identification Code 3438003014), an individual operating according to the legislation of Ukraine.
2. Subject of the Agreement
2.1. The Seller agrees to transfer ownership of the Goods to the Buyer, and the Buyer agrees to pay for and accept the Goods under the terms of this Agreement.
2.2. The date of acceptance of the Offer (concluding the Agreement) and the moment when the Buyer fully and unconditionally accepts the terms of the Agreement shall be the date when the Buyer completes the order form on the online store website and receives electronic confirmation of the order from the Seller. Upon the Buyer’s request, the Agreement may be executed in writing.
3. Placement of the Order
3.1. The Buyer independently places an order on the website of the Online Store using the “Cart” form, or by sending an order via email, or by calling the phone number listed in the website’s contact section.
3.2. The Seller reserves the right to refuse to deliver the order if the information provided by the Buyer during the ordering process is incomplete or raises doubts regarding its accuracy.
3.3. When placing an order, the Buyer shall provide the following required information necessary for the Seller to fulfill the order:
3.3.1. Buyer’s last name and first name;
3.3.2. delivery address for the Goods (if delivery is made to the Buyer’s address);
3.3.3. contact phone number;
3.3.4. Identification code for legal entities or sole proprietors.
3.4. The name, quantity, article number, and price of the Goods selected by the Buyer are listed in the Buyer’s cart on the online store website.
3.5. If either Party needs additional information, they have the right to request it from the other Party. If the Buyer fails to provide the required information, the Seller is not responsible for providing quality service.
3.6. When placing an order via the Seller’s operator (p. 3.1 of this Offer), the Buyer must provide the information specified in p. 3.3–3.4.
3.7. Acceptance of the terms of this Offer by the Buyer is carried out by entering the required information into the registration form on the online store website or when placing an order through the operator. After placing the order, the Buyer’s data is entered into the Seller’s database.
3.8. The Buyer is responsible for the accuracy of the information provided when placing the order.
3.9. By placing an order, the Buyer confirms the following:
a) the Buyer has fully read and agrees with the terms of this Offer;
b) the Buyer consents to the collection, processing, and transfer of personal data. This consent is valid for the entire duration of the Agreement and for an unlimited period thereafter. The Buyer confirms that they have been informed about their rights under the Law of Ukraine “On Personal Data Protection,” about the purpose of data collection, and that their personal data may be shared with third parties to fulfill the order.
4. Price and Delivery
4.1. Prices for Goods and services are determined by the Seller independently and are indicated on the online store website in Ukrainian hryvnias, including VAT.
4.2. Prices may be changed by the Seller unilaterally depending on market conditions. The price of a specific item that has been fully paid for by the Buyer cannot be changed unilaterally.
4.3. The price on the website does not include delivery costs.
4.4. The cost of delivery to the Buyer’s address is not included in the price of the Goods.
4.5. The Seller may provide an estimated delivery cost upon request from the Buyer.
4.6. The Buyer’s payment obligations are considered fulfilled when the funds are credited to the Seller’s bank account.
4.7. Payments between the Seller and the Buyer are made in the manner specified in the “Payment and Delivery” section of the website.
4.8. Upon receiving the Goods, the Buyer must inspect them in the presence of the delivery service representative to verify quantity, appearance, completeness, and expiration dates.
4.9. By signing the invoice or delivery note, the Buyer confirms the absence of claims regarding the Goods.
4.10. Ownership and risk of accidental loss or damage pass to the Buyer or their representative at the moment the Goods are received or transferred to the delivery service.
5. Rights and Obligations of the Parties
5.1. The Seller shall:
5.1.1. Deliver the Goods to the Buyer in accordance with the terms of this Agreement and the Buyer’s order.
5.1.2. Not disclose any private information about the Buyer except as required by law or necessary to fulfill the order.
5.2. The Seller has the right to:
5.2.1. Change the terms of this Agreement and the prices for Goods and services unilaterally by posting the changes on the website.
5.3. The Buyer shall:
5.3.1. Read the terms of the Agreement and the prices on the website before concluding the Agreement.
5.3.2. Provide accurate information necessary for the Seller to fulfill the order.
6. Return of Goods
6.1. The Buyer has the right to return non-food Goods of proper quality within 14 days, excluding the day of purchase, if the Goods have not been used and if their consumer properties, packaging, labels, and receipt are preserved.
6.2. Refunds for Goods of proper quality are made within 30 days from the date the Seller receives the returned Goods.
6.3. Refunds are made via bank transfer to the Buyer’s account.
6.4. Return shipping costs are paid by the Buyer.
6.5. If defects are discovered within the warranty period, the Buyer has the right to file claims under the Law of Ukraine “On Consumer Protection.”
6.6. Claims are considered by the Seller only if the Buyer provides all required documents.
6.7. Goods of individually customized characteristics cannot be returned (e.g., non-standard sizes, customized features).
6.8. Returns shall be sent to the address listed in the “Contacts” section of the website.
7. Liability
7.1. The Seller is not liable for damage caused by improper installation, use, or storage of the Goods.
7.2. The Seller is not liable for improper fulfillment of obligations due to inaccurate information provided by the Buyer.
7.3. The Seller and Buyer are liable in accordance with the legislation of Ukraine.
7.4. The Parties are released from liability due to force majeure events (war, natural disasters, etc.).
8. Confidentiality and Personal Data Protection
8.1. By providing personal data on the online store website, the Buyer agrees to its processing according to the Law of Ukraine “On Personal Data Protection.”
8.2. The Seller shall not disclose information received from the Buyer, except as required by law or necessary to fulfill the order.
8.3. The Buyer is responsible for keeping their personal data up-to-date.
9. Other Conditions
9.1. This Agreement is concluded in Ukraine and is governed by Ukrainian legislation.
9.2. Disputes shall be resolved through negotiations or in court.
9.3. The Seller may unilaterally amend this Agreement by posting updates on the website.
